About the Role

As a Corporate Law Clerk, you’ll be supporting the legal team. Responsibilities include:

Document Management:


  • Maintaining the corporate database and assisting with the bi-annual attestation process.
  • Organizing legal documents following the company’s file naming convention.
  • Responding to document requests and preparing certified copies of D&O registers for KYC purposes.
  • Coordinating document execution and managing signature pages.
  • Preparing redacted operating agreements.

Entity Formations and Compliance:

  • Assisting with U.S. entity formations and state qualifications (if required).
  • Coordinating offshore entity formations with external counsel.
  • Applying for Employee Identification Numbers for domestic and foreign entities.
  • Handling bank account openings and onboarding entities with the fund administrator.
  • Advising registered agents on entity formations, name changes, conversions, and dissolutions.

Communication and Coordination:

  • Addressing legal queries from other business groups.


Requirements

To excel in this role, you should have:

  • Law Clerk Diploma
  • Minimum of 2 to 3 years of Canadian corporate law clerk experience
  • Exceptional attention to detail
  • Strong organizational skills
  • Excellent interpersonal, written, and verbal communication
  • Proficiency in Microsoft Excel and PowerPoint
  • Ability to manage a heavy workload in a fast-paced environment
  • Experience with corporate databases and document management systems (experience with Diligent corporate database or iManage is a plus)
