Location: Vancouver, British Columbia
Work Model: Hybrid - 3 Days per Week In Office
Compensation: $65,000-$70,000 base salary + discretionary bonus and equity incentives

Our client is a Vancouver-based publicly listed organization operating in a regulated industry, with subsidiaries and operations across multiple international jurisdictions. The company is listed on major North American exchanges and operates within a complex corporate governance and securities compliance framework.
The organization works closely with external legal counsel and places strong emphasis on accuracy, timeliness, and adherence to regulatory requirements. This search is being conducted on a strictly confidential basis.
Position Overview
The organization is seeking a Paralegal to support corporate governance, securities compliance, and company secretarial functions for two publicly traded entities and a portfolio of private subsidiaries operating across the Americas.
Reporting to the Chief Financial Officer and working in coordination with internal stakeholders and external legal counsel, this role offers exposure to public company operations. U.S. securities experience is considered a strong asset but is not required, as the organization is open to providing training and ongoing support.
Key Responsibilities
Corporate Governance & Compliance
- Support corporate governance, legal compliance, and company secretarial functions for two publicly listed companies traded on the TSX, NYSE, and Nasdaq
- Manage corporate records and compliance requirements for 30+ private entities
- Maintain corporate minute books, resolutions, and statutory filings
Board, Committee & Shareholder Support
- Organize and coordinate board, committee, and shareholder meetings, including:
- Preparation of notices, agendas, and meeting materials
- Recording and circulation of meeting minutes and written resolutions
- Assist with ongoing governance processes and recurring meetings held throughout the year
Securities Filings & Disclosure
- Coordinate and file continuous disclosure documents, including news releases and technical reports, on SEDAR and EDGAR, in collaboration with external legal counsel
- Prepare and file insider reports for directors and officers
- Maintain share capital records, including issuances related to:
- At-the-Market financings
- Option exercises
- Restricted share issuances and other equity transactions
Legal & Transactional Support
- Organize, maintain, and manage legal agreements and records on the company's document management system
- Collaborate with external law firms on corporate transactions and legal matters, including:
- Share exchange agreements
- Data room organization and maintenance
- Adoption and administration of equity and option plans
- Proxy statements, annual information forms, and related disclosure documents
- Provide ad hoc legal and corporate support as required in day-to-day operations
Qualifications
- 3-5 years of similar paralegal experience
- Working knowledge of Canadian securities regulations and public company filings is a strong asset
- Experience with SEDAR required; exposure to EDGAR and U.S. securities filings is a strong asset
- Willingness to learn cross-border regulatory requirements with training and guidance
- Highly organized with excellent attention to detail and deadline management skills
- Strong written and verbal communication skills
- Comfortable working with senior leadership and external legal counsel in a professional environment
