Building Ontario Fund Headquartered in Toronto, the Building Ontario Fund (BOF) is a new independent, board-governed agency that will facilitate investment by trusted institutional investors in critically needed large-scale infrastructure projects within the province. The agency’s mandate is to invest in, and seek to attract investment from, qualified institutional investors, public sector entities, governments, and Indigenous communities in Ontario infrastructure projects that will generate revenue and are in the public’s interest. BOF will do this by: Investing in infrastructure and appropriately allocating risks amongst the Corporation and other investors Structuring proposals and negotiating agreements with investors in infrastructure projects Receiving and assessing unsolicited ideas and proposals for infrastructure Providing advisory services with respect to financing infrastructure projects Reporting to the Chief Legal Officer and General Counsel, the

will play a key role in ensuring that the Building Ontario Fund (the “BOF”) complies with all legal and regulatory requirements, while also supporting the efficient operation of the Board of Directors. This position will be the primary support to the CEO and the executive leadership team for all matters relating to the Board of Directors, as well as being the primary support for the Board and the Board Chair in their interactions with the CEO, the executive leadership team and various stakeholders, including the Ministry of Finance. The Corporate Secretary & Legal Counsel will be responsible for creating an internal culture which not only enables appropriate corporate governance, structures, policies, and procedures to be developed, reviewed and approved by the Executive and the Board, as applicable but which also allows them to function effectively in a dynamic and evolving transaction-focused environment. More specifically, and in addition to managing all Board and Board Committee Meetings, the Corporate Secretary & Legal Counsel will be responsible for: Providing legal advice on all governance and administrative law matters relevant to the Board Developing, managing and evolving the corporate governance framework and promoting compliance with internal and external governance processes and requirements, and Managing all communications between the Board and the Executive Team with the support of a Board Coordinator. As corporate counsel, the Corporate Secretary & Counsel will also provide legal guidance and support to the BOF, supporting compliance with legislation, common law, policy and other requirements applicable to the BOF as a corporate entity but also as a provincial agency. In this capacity, the Corporate Secretary & Legal Counsel will, with the support of external counsel, as required: Draft, review and negotiate a variety of contracts, including vendor agreements, confidentiality agreements and employment contracts Provide legal advice to the Chief Legal Officer and General Counsel and the executive leadership team on all internal general corporate matters including, for example, matters of employment law and privacy law Assist external counsel as may be required to affect the BOF’s core mandate, including the facilitation of all corporate diligence, attestation and other supporting documentation necessary Manage, document and report on all conflict-of-interest assessments, and provide ongoing training to all BOF staff, the executive leadership team and the Board on matters of compliance, ethics and best practices, Manage all corporate litigation matters, and Ensure currency on all proposed changes in law and common law which impact the operations of the BOF as a provincial agency and in the delivery of its core mandate. Qualifications J.D from a recognized law school and member in good standing of the Law Society of Ontario A minimum of 3-5 years’ post-call corporate law experience gained at a leading law firm and/or in-house; strong knowledge of corporate/commercial law and experience reviewing and negotiating a wide range of commercial contracts, including with respect to employment matters A minimum of 3-5 years of corporate governance experience; public sector governance experience is an asset, but is not required Superior writing, drafting and communication skills, in English.
